The following is a Docxify Documents Uploader/Sharing Agreement:
1.1 "Uploader" means any user who uploads a document to the platform. 1.2 "Recipient" means any user who receives a document from the platform. 1.3 "Platform" means the online service or website that allows users to upload and share documents.
By using the Platform, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you should not use the Platform.
3.1 Uploader represents and warrants that they own or have the necessary rights and permissions to upload and share any documents through the Platform. 3.2 Uploader retains ownership of all documents uploaded to the Platform.
4.1 Uploader grants to the Platform a non-exclusive, worldwide, royalty-free license to use, copy, store, and distribute the documents uploaded by Uploader through the Platform. 4.2 Recipients of documents uploaded through the Platform are granted a limited, non-exclusive, non-transferable license to access and use those documents for their own personal or business purposes.
Uploader agrees not to upload any documents that:
5.1 infringe upon the intellectual property rights of any third party; 5.2 contain defamatory, obscene, or offensive material; 5.3 promote or facilitate illegal activity; 5.4 contain viruses, worms, or other malicious code.
The Platform makes no warranty, express or implied, regarding the availability, reliability, or quality of the Platform, or the documents uploaded and shared through the Platform.
The Platform shall not be liable for any damages arising from the use or inability to use the Platform, or the documents uploaded and shared through the Platform, including but not limited to direct, indirect, incidental, consequential, or punitive damages.
Uploader agrees to indemnify and hold the Platform harmless from any claims, damages, or losses arising from the uploading and sharing of documents through the Platform.
The Platform may terminate this Agreement at any time, with or without cause. Upon termination, Uploader's license to use the Platform and share documents through the Platform will be terminated.
This Agreement shall be governed by and construed in accordance with the laws of the state or country in which the Platform is located.
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the use of the Platform and the sharing of documents through the Platform.
